1. Acceptance of the Terms

The website located at https://www.opened.co and any related sub‑domains (collectively, the “Site”) are copyrighted works owned and operated by My Tech High, Inc., dba OpenEd ("OpenEd," "Company," "we," "us," or "our"). These Terms of Use (the "Terms") form a legally binding agreement between you ("you" or "User") and OpenEd governing your access to and use of the Site and any content, functionality, and services offered on or through it. 

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree to these Terms, do not access or use the Site. Our privacy policy is located here.

1.1 Eligibility

  • Age Requirement. The Site is directed to parents/guardians and school personnel. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or submit personal data directly.
  • Minors Under 18. If you are under 18 but at least 13, you may use the Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
  • Children Under 13. Children under 13 may not create an account. Any parent or guardian who allows a child to use the Site is fully responsible for the child’s activities.

1.2 Additional Terms

Certain products or services offered through the Site may be subject to additional guidelines, terms, or rules that will be provided with those services ("Supplemental Terms"). Supplemental Terms are incorporated into these Terms by reference. If Supplemental Terms conflict with these Terms, the Supplemental Terms govern the services to which they relate.

2. Accounts and Security

2.1 Account Registration

To access some Site features you must create an account ("Account") and provide accurate, current, and complete information. You agree to keep your Account information up‑to‑date.

2.2 Account Responsibilities

You are responsible for safeguarding your Account credentials and for all activities occurring under your Account. Notify us immediately of any unauthorized use. OpenEd is not liable for any loss or damage arising from your failure to secure your Account.

3. License and Acceptable Use

3.1 Limited License

Subject to these Terms, OpenEd grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Site for your personal, non‑commercial use.

3.2 Prohibited Conduct

You agree not to:

  1. License, sell, lease, or commercially exploit the Site or its content.
  2. Modify, reverse engineer, or create derivative works based on the Site.
  3. Use the Site to build a similar or competitive product or service.
  4. Copy, scrape, or harvest data except as expressly permitted by a robots.txt file.
  5. Interfere with the proper functioning or security of the Site.
  6. Upload or transmit any content that: (a) infringes intellectual‑property rights; (b) is unlawful, harmful, defamatory, obscene, or hateful; (c) targets or exploits minors; or (d) violates any applicable law or regulation.

4. User Content

"User Content" means any information or materials submitted or made available by you on the Site. You retain ownership of your User Content, but you grant OpenEd a worldwide, royalty‑free, sublicensable license to use, reproduce, display, distribute, and create derivative works of your User Content solely for operating, improving, and promoting the Site and OpenEd’s services. You represent that you own or have the necessary rights to submit User Content and that the User Content does not violate these Terms or any law.

OpenEd may, but is not obligated to, review or remove User Content that violates these Terms.

5. Intellectual Property

All content on the Site—including text, graphics, logos, icons, images, and software—is owned by OpenEd or its licensors and is protected by United States and international intellectual‑property laws. Except for the limited license granted in Section 3.1, nothing in these Terms transfers any proprietary right to you. OpenEd reserves all rights not expressly granted herein.

6. DMCA & Copyright Policy

OpenEd respects intellectual‑property rights and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that material on the Site infringes your copyright, please send a notice (per 17 U.S.C. § 512(c)) to our Copyright Agent to help@opened.co with the information specified in 17 U.S.C. § 512(c)(3). We will respond in accordance with the DMCA.

7. Third‑Party Links and Services

The Site may contain links to third‑party websites or display content from third parties ("Third‑Party Services"). OpenEd does not control and is not responsible for Third‑Party Services. Your use of Third‑Party Services is at your own risk and subject to the third party’s terms and privacy policies.

8. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” OPENED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

Some jurisdictions do not allow exclusion of implied warranties; the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENED SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50).

Some jurisdictions do not allow certain limitations of liability; the foregoing limitations apply to you to the fullest extent permitted by law.

10. Termination

OpenEd may suspend or terminate your Account or access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination shall so survive, including Sections 3, 4, 5, 8, 9, 11 and 12.

11. Dispute Resolution & Arbitration

11.1 Informal Resolution

Before initiating arbitration, the parties agree to first attempt to resolve any dispute informally by contacting the other party in writing and allowing thirty (30) days for a response.

11.2 Mandatory Arbitration

Except for claims that qualify for small‑claims court and claims for injunctive relief, all disputes arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Utah County, Utah, USA, unless we mutually agree otherwise.

11.3 Class‑Action Waiver

Disputes will be resolved only on an individual basis; class, collective, and representative actions are not permitted.

11.4 Jury‑Trial Waiver

THE PARTIES WAIVE THE RIGHT TO A JURY TRIAL.

12. Governing Law

This Agreement is governed by the laws of the State of Utah, without regard to its conflict‑of‑law principles, except where U.S. federal law preempts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site and update the "Last revised" date. Continued use of the Site after any change indicates acceptance of the revised Terms.
